1. THE TERMS
1.1 These are the terms and conditions on which we supply products to you.
1.2 Please read these terms carefully before you submit your order to us. These terms explain how we provide our products to you, how you or we may change or end the contract, what to do if there is a problem and other important information.
2. BUSINESS OR CONSUMER

2.1 You are a consumer if: you are an individual AND you are buying products from us wholly or mainly for your personal use (not for use in connection with your trade, business or profession).

2.2 If you are a business customer, these terms constitute the entire agreement between us regarding your purchase. You acknowledge that you have not relied on any statement, promise, representation, assurance or warranty made or given by or on behalf of us not set out in these terms. You shall have no claim for innocent or negligent misrepresentation based on any statement in this agreement.

We will only ever contact you using the information given to us on your order. Please ensure that you enter the correct details when placing your order. Failure to do so, may result in cancellation of your order.

4. OUR CONTRACT WITH YOU
4.1 Our acceptance of your order will take place when you receive an email confirmation of your order, at which point a contract shall come into existence between you and us.
4.2 If your order cannot be accepted, we will inform you in writing by way of an order rejection email and will refund you for the items ordered. Full reasons for rejection shall be given in the email to you.
4.3 Each order placed is assigned a UON (Unique Order Number). This must be used when enquiring about your order.
4.4 We are currently only selling to addresses in the UK. At present, we do not accept orders from addresses outside the UK. If you are from outside the UK and you wish to make an order, please contact our Sales Team (sales@orlightspecialprojects.com) for more information.

5.1. All rights reserved. All information contained herein this website (the “Information”) is provided for reference purposes only. Whilst Orlight Special Projects (the “Company”) will endeavour to ensure the accuracy, reliability and completeness of the Information, neither the Company, nor any of its subsidiaries makes any warranty or representation, express or implied, or accepts any responsibility for the accuracy, completeness, reliability or suitability of the Information for any particular purpose.
5.2. Orlight accepts no liability whatsoever to any person or Company for any loss or damage arising from any inaccuracy or omission in the Information or from any consequence, decision, action or non-action based on or in reliance upon the Information.
5.3. All proposed Goods presented herein are subject to these Terms & Conditions. All proposals are subject to consultation of the Customer and, therefore, further subject to change. Any confirmation shall be confirmed by the Customer in writing to the Company.
6. OUR PRODUCTS
6.1. We reserve the right to alter the product specification published on this website. Whilst we will endeavour to display our products accurately, due to possible changes in our production process all information and illustrations are subject to variation. This includes dimensions, material composition, recess depths, hole cut outs required, lamp type or inclusion of lamps.
6.2. We reserve the right to change the packaging of the product from time to time without notice.
7. YOUR RIGHTS TO CHANGES
7.1. If you need to make a change to your order, please contact us at your earliest available opportunity. We will let you know if the change is possible and how your order will change as a result.
8. OUR RIGHTS TO MAKE CHANGES
8.1. We reserve the right to change the product to:
(a) Reflect changes in relevant laws and regulatory requirements.
(b) Implement minor technical adjustments and improvements, for example to address a quality issue.
9. DELIVERY
9.1. Our delivery costs are as displayed to you on our website.
9.2. Deliveries shall be made between 9:00am and 5:00pm on any working day (Mon-Fri) excluding bank holidays. We do not offer weekend deliveries.
9.3. Delivery shall be deemed to have taken place when they have been delivered to the Delivery Destination.
9.4. If no one is available at your address to take delivery and the products cannot be posted through your letterbox, we will leave a note informing you of how to rearrange delivery.
9.5. If you do not re-arrange delivery, we will contact you for further instructions and may charge you for storage costs and any further delivery costs. If, despite reasonable efforts, delivery cannot be made, we may end the contract and clause 10.2 will apply.
10. PAYMENT
10.1. We accept payment by debit card, credit card or Paypal. We accept VISA, VISA Electron, Mastercard, Maestro & American Express.
10.2. You must pay for the Products and we will charge the card you have chosen to use to pay for your order once it has been confirmed. We will contact your bank or card issuer for authorisation to take payment from your account.
11. CANCELLATIONS & RETURNS
11.1. We must be notified of any defect in the quality or condition of the Goods within 30 days of receipt of the Goods.
11.2. You may cancel an order for standard items within 14 days from the date of receipt of goods by contacting Customer Service (sales@orlightspecialprojects.com) who will provide you with a Returns Merchandise Authorisation (RMA). Once cancelled, the goods must be returned at your expense. Returned goods will not be accepted without an RMA.
11.3. Goods must be returned in a resale-able condition with all packaging, accessories and instructions complete and intact. If they are not in a satisfactory condition, we are permitted to refuse or reduce your refund accordingly to take into consideration the reduction in value of the Goods.
11.4. Goods must be returned without undue delay and no later than 14 days from the date of cancellation. Please see our Returns Policy on details for how to return.
11.5. We have a non-cancellation policy for items which are bespoke or ‘Made to Order’.
11.6. We may cancel your order at any time before the goods are delivered. If we do so, we will promptly repay you any sums paid in respect of the Goods. Without prejudice to clause 10, we will not be liable for any loss or damage arising from any cancellation in accordance with this clause.
11.7. Any monies due as a result of any return of goods under this clause 8 shall be refunded within 30 days of receipt of the returned goods through the same method in which payment for the goods were originally made. We shall not be liable for any delays in payment caused by us and/or your bank.
11.8. We reserve the right to reduce your refund of the price to reflect any reduction in the value of the goods if they are returned in an unsatisfactory condition.
12. OUR LIABILITY
12.1. If we fail to comply with these Conditions, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Conditions or our negligence, but we are not responsible for any loss or damage which isn’t foreseeable.
12.2. Our supply is for domestic and private use only. If you use Products for any commercial, business or resale purpose, we will have no liability to you for any loss of profit, loss of business, loss of anticipated savings, business interruption or loss of business opportunity.
12.3. We do not exclude liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation or any other matter which we cannot exclude or limit our liability due to any applicable law.
13. EVENTS OUTSIDE OUR CONTROL
13.1. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a Contract caused by an Event Outside our Control (any act, event, omission or accident beyond our reasonable control.
13.2. Should an Event Outside Our Control take place, we will notify you as soon as reasonably possible and our obligations under the Contract will be suspended and the time for performance of our obligations will include the length of the Event Outside Our Control. Where delivery is affected, a new date will be advised.
13.3. You may cancel a Contract affected as per this clause if there is risk of substantial delay. To cancel a Contract under this clause, please contact us using the contact details in clause 1.1.
14. EXPORT
14.1. You shall be responsible for complying with any legislation or regulations governing the importation of the products into the country of destination other than the UK and for the payment of any duties on them.
15. GENERAL
15.1. These conditions, and any Contract based hereon, shall be governed by and construed in accordance with the provisions of English law, and the parties hereby submit to the non-exclusive jurisdiction of the English courts.
15.2. If any part of these Terms is found to be unlawful, unenforceable or invalid, it shall not affect the validity or enforceability of the remaining clauses.
15.3. We may transfer our rights and obligations under the Contract to another organisation. If this happens, we will notify you and use our best endeavours to ensure this does not affect your rights under the Contract.
15.4. Any failure or delay to insist you perform your obligations under these Terms shall not be treated as a waiver of such.
